These Terms govern your access to and use of our website and the wholesale purchase of goods from FLG Wholesale Distribution LLC (“FLG,” “we,” “us,” or “our”). By using the Site or placing an order, you agree to these Terms.

1. Eligibility & Accounts

Our products are sold business-to-business only. You represent that you are purchasing for resale or commercial use and have authority to bind your organization. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2. Quotes, Pricing & Orders

Quotes are valid for a limited time and subject to availability and market conditions. Pricing may change without notice until an order is confirmed. We may set minimum order quantities (MOQs) per item or order. An order is accepted when we issue written confirmation (e.g., invoice or order acknowledgement).

3. Payment

Payment terms will be stated on your invoice or account agreement. We may require prepayment for new accounts or specific products. You agree to pay all amounts when due; past-due balances may incur late fees, collection costs, and suspension of future shipments.

4. Taxes & Compliance

Unless expressly stated, prices exclude applicable taxes, duties, fees, and import/export charges. You are responsible for providing valid resale documentation and for compliance with all laws regarding storage, handling, resale, export, and labeling.

5. Shipping, Title & Risk of Loss

We arrange shipment as your agent unless otherwise agreed. Title and risk of loss transfer upon delivery to the carrier (FOB shipping point) unless stated differently in writing. Delivery dates are estimates, not guarantees. You must provide accurate delivery information and accept delivery during the agreed window.

6. Inspection, Shortage & Damage

Inspect shipments upon receipt. Report shortages, visible damage, or discrepancies on the carrier’s delivery record and notify us within 48 hours (with photos and documentation). Failure to notify within this period may limit remedies.

7. Returns

Due to product type and safety considerations, all sales are final. Returns are not accepted without our prior written authorization (RMA). Approved returns must be in original, unopened condition and shipped per our instructions.

8. Product Information & Shelf Life

Specifications, images, and descriptions are for reference. Lot codes and expiration dates vary. We strive for accuracy but do not warrant that content is error-free. You are responsible for verifying suitability and shelf life for your intended use.

9. Frozen & Temperature-Controlled Goods

For frozen products (livestock) and other temperature-controlled items, you must provide suitable facilities and promptly place goods into the appropriate environment upon delivery. We are not liable for mishandling after risk of loss has transferred.

10. Intellectual Property

All trademarks, logos, and content on the Site are owned by FLG or their respective owners and may not be used without permission.

11. Prohibited Uses

You agree not to misuse the Site, interfere with operations, or violate applicable laws, including laws related to export controls, unfair competition, and product safety.

12. Warranties & Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN WRITING, GOODS ARE SOLD “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLG WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY RELATING TO ANY ORDER WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE AFFECTED GOODS.

14. Indemnification

You agree to defend, indemnify, and hold FLG harmless from claims arising out of your misuse of the goods, violations of law, or breach of these Terms.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor issues, carrier failures, shortages, or governmental actions.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflicts of law rules. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction and venue.

17. Changes to Terms

We may update these Terms at any time. Changes apply when posted on the Site with a new “Last Updated” date.
